STATUTS

Chapitre I er . Dénomination, Siège, Durée et Objet social

Art. 1 er . L'association prend la dénomination «Association bulgare au Luxembourg A.s.b.l.» association sans but lucratif, en abrégé «BGLUX» (ci-après «l'Association»).

Art. 2. Le siège de l'Association est établi au 142, rue Albert Unden, L-2652 Luxembourg.

Art. 3. La durée de l'Association est illimitée.

Art. 4. L'Association a pour objet toute activité de nature à favoriser le développement des relations commerciales, économiques, culturelles, sportives, humanitaires, scientifiques, financières, fiscales, juridiques et dans le tourisme entre la Bulgarie et le Grand-Duché de Luxembourg. Elle a également pour but de créer une coopération dynamique avec la Chambre de Commerce du Luxembourg.

Dans le cadre de ses activités, l'Association a la possibilité de créer des «antennes» dans différentes villes et différents pays.

Art. 5. L'Association poursuit son action dans une stricte indépendance politique, idéologique, religieuse et raciale.

Art. 6. L'Association peut posséder soit en jouissance, soit en propriété, tout meuble et immeuble nécessaire ou utile à la réalisation de son objet. Les ressources financières de l'association comprennent:

A) les cotisations

B) les subventions et subsides

C) le produit de publications ou d'autres activités

D) les intérêts et produits des fonds placés

E) les libéralités et dons qui lui sont faits

Chapitre II. Membres

Art. 7. L'Association est composée de membres actifs, de membres donateurs, de membres associés et de membres d'honneur. Le nombre des membres de l'Association est illimité.

Art. 8. Peut devenir membre toute personne morale ou physique qui en manifeste sa volonté, par une demande écrite ou par une demande verbale, déterminée à observer les présents statuts et agréée par le Comité.

Art. 9. Peut devenir membre-donateur toute personne qui, sans prendre part activement au fonctionnement de l'Association, lui prête une aide financière annuelle, avec l'accord du Comité.

Art. 10. Le Comité peut conférer le titre de membre d'honneur à des personnes qui ont rendu des services ou fait des dons à l'Association.

Peut devenir membre associé toute personne ne voulant pas devenir membre actif mais souhaitant être tenue au courant des manifestations de l'Association.

Art. 11. Les membres s'acquittent d'une cotisation annuelle fixée par l'Assemblée Générale à la période fixée par ladite Assemblée Générale. La cotisation minimale est fixée à vingt-cinq euros (EUR 25) et ne peut être supérieure à cent euros (EUR 100,-).

L'Assemblée Générale se réserve le droit de majorer cette cotisation suivant les besoins de l'Association.

Art. 12. La qualité de membre se perd:

1. par démission écrite au Comité

2. par exclusion prononcée par l'Assemblée Générale à la majorité des deux tiers des membres présents pour violation des statuts ou pour tout autre motif grave. En cas de partage la voix du Président est prépondérante

3. par décès

4. pour non-paiement de cotisation annuelle

La proposition d'exclusion est formulée par le Comité, alors que la décision définitive est prise par l'Assemblée Générale.

Art. 13. Le membre démissionnaire et exclu n'a aucun droit sur le fonds social, le patrimoine de l'Association et ne peut réclamer le remboursement des cotisations.

Chapitre III. Comité

Art. 14. L'Association est administrée par un Comité qui se compose d'un nombre de membres compris entre 5 et 11 dont le Président, le vice-Président, l'Administrateur-Délégué, le Secrétaire et le Trésorier. Les membres du Comité sont élus pour 3 ans par l'Assemblée Générale.

Lorsqu'un administrateur cesse ses fonctions avant l'expiration de son mandat, le Comité peut provisoirement pourvoir à son remplacement jusqu'à la prochaine Assemblée Générale. Le membre du Comité alors élu achèvera le mandat de son prédécesseur.

Les membres du Comité désignent entre eux pour une durée de 3 ans un Président, un vice-Président, un Administrateur-Délégué, un Secrétaire et un Trésorier. Ils sont rééligibles pour une durée de trois (3) mandats maximum.

Les candidatures pour un mandat au sein du Comité doivent être adressées par écrit au Président au moins 48 heures avant l'Assemblée Générale.

Art. 15. Le Comité se réunit aussi souvent que les intérêts de l'Association l'exigent sur convocation du Président, du Secrétaire, du vice-Président ou de 2 des membres du Comité. Les décisions du Comité sont prises à la majorité des deux tiers des membres présents. En cas de partage des voix, celle du Président ou de celui qui le remplace est prépondérante.

En cas d'absence du Président et du vice-Président, la réunion du Comité est présidée par le Trésorier et en cas également d'absence du Trésorier par le Secrétaire.

Le Comité peut s'adjoindre, soit temporairement, soit définitivement, des personnes même non-membres actifs qu'il charge d'une mission spéciale. Ces personnes n'ont toutefois que voix consultative aux réunions du Comité.

Les décisions du Comité sont consignées dans des procès-verbaux qui sont signés par le Président et le Secrétaire et par ceux des votants qui le désirent.

Les extraits ou copies de procès-verbaux à produire en justice ou ailleurs, sont certifiés conformes et signés par le Président ou par deux des membres du Comité.

Art. 16. Le Comité a les pouvoirs les plus étendus pour l'administration et la gestion de l'Association. Tout ce qui n'est pas expressément réservé à l'Assemblée Générale par les statuts ou par la loi est de sa compétence.

Le Comité peut notamment acquérir, vendre, hypothéquer les biens de l'association, contracter des emprunts et accepter tous dons et legs sous réserve des autorisations prévues par la loi, tant que le montant total des opérations visées ne dépasse pas la somme de EUR 30,000.00. Toutes décisions visant des opérations dépassant la somme précitée doivent être préalablement soumises par le Comité à l'approbation de l'Assemblée Générale qui se prononcera en séance extraordinaire.

Le Comité est tenu de soumettre tous les ans à l'approbation de l'Assemblée Générale ordinaire et annuelle le compte de l'exercice écoulé et le budget du prochain exercice.

Il veillera à la stricte observation des prescriptions prévues aux articles trois (3), neuf (9) et dix (10) de la loi du 21 avril 1928 sur les associations sans but lucratif, telle qu'elle a été modifiée.

Les actions judiciaires, tant en demandant qu'en défendent sont intentées ou soutenues au nom de l'Association seule.

Art. 17. L'Association est engagée en toute circonstance par la signature conjointe de deux des personnes suivantes: le Président, le Secrétaire ou le Trésorier (pour les affaires qui touchent aux finances de l'Association). Chacune de ces personnes peut librement déléguer son pouvoir de signature à un des membres du Comité de son choix.

Chapitre IV. Assemblée générale

Art. 18. L'Assemblée Générale ordinaire se réunit annuellement dans le courant du mois de février ou mars, au jour, à l'heure et au lieu indiqués dans l'avis de convocation envoyé par courrier ou par fax.

Une délibération de l'Assemblée Générale est nécessaire pour les objets suivants:

1) la modification des statuts

2) toute opération envisagée par l'Association dont le montant total dépasse la somme de EUR30,000.00

3) la nomination et la révocation des membres du Comité, la modification de la durée de leur mandat ainsi que la décharge aux membres du Comité

4) l'approbation des comptes et budgets

5) la dissolution de l'Association

6) l'exercice de tous les autres pouvoirs qui lui seraient conférés par la loi ou les statuts

7) la nomination et la révocation des réviseurs aux comptes, la fixation de la durée de leur mandat, ainsi que la décharge à donner aux réviseurs aux comptes. L'Assemblée Générale délibère valablement, quel que soit le nombre de membres présents ou représentés. Seuls les membres actifs ont le droit de vote.

Les décisions de l'Assemblée Générale sont prises à la majorité des voix des membres présents. En cas de partage la voix du Président est prépondérante.

Chaque membre présent ou représenté de l'Assemblée Générale a une voix. En cas de partage, la voix de celui qui préside l'Assemblée est prépondérante.

Les membres peuvent se faire représenter à l'Assemblée Générale, par un autre membre ou par un tiers qui doit apporter une procuration écrite à donner au Président ou à son replaçant.

Les Assemblées Générales sont présidées par le Président du Comité ou, à son défaut, par le vice-Président.

Le Président ou celui qui en remplit les fonctions, désignera le Secrétaire et deux scrutateurs pris parmi les membres actifs présents qui composeront avec le Président ou celui qui en remplit les fonctions, le bureau.

Le bureau dressera la liste de présence et la certifiera exacte.

Art. 19. L'Assemblée Générale extraordinaire est convoquée chaque fois que les intérêts de l'Association l'exigent ou qu'un cinquième des membres le demandent par écrit au Comité.

Art. 20. La convocation se fait au moins 15 jours avant la date fixée pour l'Assemblée Générale, par voie de la presse, moyennant simple lettre missive ou courrier électronique qui doit mentionner l'ordre du jour proposé, l'heure et le lieu de l'Assemblée Générale.

Art. 21. Toute proposition écrite signée d'un vingtième au moins des membres figurant sur la dernière liste annuelle doit être portée à l'ordre du jour.

Art. 22. Tous les actes, factures, annonces, publications et autres pièces émanées de l'Association doivent mentionner les éléments suivants: la dénomination «Association bulgare au Luxembourg A.s.b.l.» ainsi que la mention «a.s.b.l.», le siège, les initiales «R.C.S. Luxembourg» suivis du numéro d'immatriculation.

Chapitre V. Comptes et Budget

Art. 23. L'Assemblée Générale entend les rapports du Comité sur la situation financière de l'Association.

Elle se prononce sur les comptes de l'exercice écoulé et délibère sur les questions à l'ordre du jour. L'exercice budgétaire commence le 1 er janvier de chaque année. Les comptes sont arrêtés au 31 décembre et soumis, pour examen, à l'Assemblée Générale avec le rapport du Trésorier.

Les comptes de l'Association sont tenus et réglés par un Trésorier, membre du Comité. Chaque mouvement doit être justifié par une facture ou autre pièce comptable à l'appui.

L'excédent favorable appartient à l'Association.

Avant d'être soumis à l'Assemblée Générale, les livres, les comptes et la caisse de l'exercice écoulé sont vérifiés par deux réviseurs aux comptes désignés par l'Assemblée Générale précédente.

Chapitre VI. Dissolution

Art. 24. La dissolution de l'Association est prononcée à la majorité des 2/3 (deux tiers) des membres de l'Association. La dissolution de l'Association est régie par les arts. 20 et 21 de la loi du 21 avril 1928 sur les associations sans but lucratif, telle qu'elle a été modifiée.

Art. 25. En cas de dissolution, le capital en caisse et sur le compte bancaire, ainsi que les biens de l'Association, après apurement de toutes les dettes, charges et frais de liquidation, sont affectés à une organisation ayant des buts similaires. Cette organisation est choisie par le Comité.

Chapitre VII. Divers

Art. 26. Les statuts pourront être modifiés conformément aux dispositions prévues par les arts. 8 et 9 de la loi du 21 avril 1928 sur les associations sans but lucratif, telle qu'elle a été modifiée.

Art. 27. Pour tout ce qui n'est pas réglementé par les présents statuts, il est renvoyé à la loi du 21 avril 1928 sur les associations sans but lucratif, telle qu'elle a été modifiée.

Art. 28. Si le besoin s'en fait sentir, l'Association pourra se doter d'un règlement intérieur précisant certains points des statuts ou réglementant le fonctionnement de certaines activités. Il sera rédigé sous la responsabilité du Comité et validé en Assemblée Générale.

Art. 29. L'Assemblée générale constituante qui s'est réunie au lieu indiqué ci-dessus le 15.02.2013 a approuvé les présents statuts.

УСТАВ

Българска асоциация в Люксембург – Сдружение с нестопанска цел

Глава първа. НАИМЕНОВАНИЕ, СЕДАЛИЩЕ, СРОК И ПРЕДМЕТ НА ДЕЙНОСТ

Член 1. Сдружението се нарича « Association bulgare au Luxembourg A.s.b.l. » (Българска асоциация в Люксембург), в съкратен вид « BGLUX » (оттук нататък назовавано «Асоциацията»).

Член 2. Седалището на Асоциацията е установено в 142, rue Albert Unden, L-2652 Люксембург.

Член 3. Асоциацията се учредява за неограничен срок.

Член 4. Предмет на дейност на Асоциацията са всички дейности, които имат за цел развиването на търговските, икономическите, културните, спортните,
хуманитарните, научните, финансовите, фискалните, правните и туристическите взаимоотношения между България и Великото херцогство Люксембург. Тя също така се стреми да създаде динамично сътрудничество с Търговската камара на Люксембург.
В процеса на дейността си Асоциацията може да създава свои "антени" (представителства) в други градове и държави.

Член 5. Асоциацията функционира в условия на пълна политическа, идеологическа, религиозна и расова независимост.

Член 6. Асоциацията може да притежава, или като правоползване, или като собственост всякаква движима и недвижима собственост, необходима или полезна с оглед изпълнението на предмета на дейността си. Финансовите източници на Асоциацията са:
A) членският внос
Б) помощите и субсидиите
В) приходите от публикации или от други дейности
Г) лихвите или резултатите от инвестиции
Д) безвъзмездните разпореждания и даренията, направени в нейна полза


Глава II. ЧЛЕНОВЕ
Член 7. Асоциацията е съставена от активни членове, от членове дарители, от асоциирани членове и от почетни членове. Броят на членовете на Асоциацията е неограничен.

Член 8. Всяко юридическо или физическо лице може да стане член, като заяви волята си – писмено или устно - да спазва настоящия устав и съветът одобри това.

Член 9. Член дарител може да стане всяко лице, което — без да взима активно участие в дейността на Асоциацията — ѝ оказва годишна финансова помощ, и съветът одобри това.

Член 10. Съветът може да удостоява с титлата на почетен член лица, които са оказвали услуги или са правили дарения на Асоциацията.
Асоцииран член може да стане всяко лице, коете не желае да бъде активен член, но иска да бъде в течение на изявите на Асоциацията.

Член 11. Членовете заплащат годишен членски внос, определен от Общото събрание за периода, определен от същото Общо събрание. Минималният членски внос се определя на двадесет и пет евро (EUR 25) и не можа да надхвърля сто евро (EUR 100,-). Общото събрание се запазва правото да увеличават членския внос съобразно с потребностите на Асоциацията.

Член 12. Членството се прекратява:
1. Посредством писмено отказване, адресирано до съвета
2. Посредством изключване, обявено от Общото събрание с мнозинства на две трети от присъстващите в случай на нарушаване на устава или за всякакво друго сериозно основание. В случай на еднакъв брой гласове гласът на председателя е решаващ.
3. При смъртен случай
4. За неплащане на годишния членски внос.
Предложението за изключване се съставя от Съвета, а окончателното решение се взима от Общото събрание.

Член 13. Отказващият се и изключен член няма никакви права върху средствата и имуществото на Асоциацията и не може да иска възстановяване на членския си внос.


Глава III. СЪВЕТ
Член 14. Асоциацията се управлява от Съвет, който се състои от пет до единадесет члена, измежду които са председателят, заместник-председателят, изпълнителният директор, секретарят и ковчежникът. Общото събрание избира членовете на съвета за срок от три години.
Когато някой от членовете на съвета прекрати функциите си преди изтичането на мандата си, съветът може временно да се погрижи за заместването му до следващото общо събрание. Избраният по този начин член на съвета ще довърши мандата на своя предшественик.
Членовете на съвета посочват измежду тях за срок от три години председател, заместник-председател, изпълнителен директор, секретар и ковчежник. Те могат да бъдат преизбирани за максимум още 3 (три) години.
Кандидатурите за мандат в рамките на съвета трябва да бъдат адресирани в писмен вид до председателя най-малко 48 часа преди общото събрание.

Член 15. Съветът се събира всеки път, когато интересите на Асоциацията го изискват с покана от председателя, секретаря, заместник-председателя или от двама от членовете на съвета. Решенията на Съвета се взимат с мнозинство от две трети от присъстващите членове. В случай на равен брой гласове гласът на председателя е решаващият глас.
В отсъствието на председателя и заместник-председателя, събранието на съвета се ръководи от ковчежника, а в случай на отсъствие на ковчежника — от секретаря.
Към съвета могат да се присъединят – временно или за постоянно – лица, които дори не са активни членове, но са натоварени от него със специална мисия. Тези лица имат само консултативен глас на събранията на съвета.
Решенията на съвета се отразяват в протоколи, подписани от председателя и секретаря или от двама от членовете, които имат право на глас, които пожелаят.
Извадките или копията от протоколите, които следва да се представят пред съдебни органи или другаде, се заверяват и подписват от председателя или от двама членове на съвета.

Член 16. Комитетът има по-широки правомощия за управлението на Асоциацията. Всичко, което не е изрично отредено за общото събрание в устава или закона, е от компетентността на Асоциацията.
Съветът може по-специално да придобива, продава или ипотекира собствеността на Асоциацията, да тегли заеми и да получава дарения или завещания, при наличие на разрешенията, предвидени от закона, при условие че общата сума на съответните операции не надхвърля 30,000 EUR. Всички решения относно операции, които надхвърлят цитираната по-горе сума, трябва да бъдат предварително предложени от съвета за одобрение от общото събрание, което ще се произнесе на извънредно свое заседание.
Съветът е длъжен да предава ежегодно на обикновеното общо и на годишното общо събрание сметките от изминалата финансова година и бюджета за следващата година.
Той следи да се спазват стриктно предвидените разпоредби в членове 3 (три), 9 (девет) и 10 (десет) от Закона от 21 април 1928 за асоциациите с нестопанска цел и от неговите последващи изменения.
Съдебните действия, били те като ищец или като ответник, се извършват или поддържат единствено от името на сдружението.

Член 17. Асоциацията при всички обстоятелства се задължава от подписа на две от следните лица: председател, секретар или ковчежник (по отношение на финансовите операции на Асоциацията). Всяко от тези лица може свободно да делегира правото си на подпис на някой от членовете на съвета по свой избор.

Глава IV. ОБЩО СЪБРАНИЕ
Член 18. Обикновеното общо събрание се свиква веднъж годишно през месец февруари или март, в ден, час и място, указани в поканата, изпратена по пощата или по факс.
Обсъждане от Общото събрание е необходимо за следните въпроси:
1) Изменения в устава
2) Всяка дейност, предвиждана от Асоциацията, чиято обща сума надвишава 30,000 EUR.
3) Номинирането и отзоваването на членове на Съвета, измененията на продължителността на мандата им, както и освобождаването на членове на Съвета.
4) Одобряването на сметките и на бюджетите.
5) Разпускането на Асоциацията.
6) Упражняването на всички други правомощия, предоставени му от закона или от устава.
7) Номинирането и отзоваването на одиторите, определянето на продължителността на мандата им, както и освобождаването на одиторите. Общото събрание законно разисква и броя на присъстващите или представлявани членове. Само активните членове имат право на глас.
Решенията на Общото събрание се взимат с мнозинството на присъстващите членове. В случай на равен брой гласове гласът на председателя е решаващият глас.
Всеки присъстващ или представляван на Общото събрание член има право на един глас. В случай на равен брой гласове гласът на председателя е решаващият глас.
Членовете могат да бъдат  представлявани на Общото събрание от друг член или от трето лице, което трябва да носи пълномощно, което да предаде на председателя или на негов заместник.
Общите събрания се председателстват от председателя на Съвета или, в негово отсъствие, от заместника му.
Президентът или този, който изпълнява функциите му, назначава секретаря и двама преброители, избрани от активните присъстващи членове, които ще съставляват , заедно с   Председателя или този, който изпълнява функциите му, президиума.
Президиумът ще подготви списъка на присъстващите и ще го завери.

Член 19. Извънредното общо събрание се свиква всеки път, когато го изискват интересите на Асоциацията или когато една пета от членовете го поискат от Съвета в писмен вид.

Член 20. Свикването се извършване най-малко 15 дни преди датата, определена за Общото събрание, посредством обявление в пресата, с обикновено писмо или електронна  поща, в което се съдържа предлаганият дневен ред, часът и мястото на Общото събрание.

Член 21. Всички писмени предложения, подписани от поне една двадесета част от членовете по списъчен  състав от последната година, следва да бъде внесена в дневния ред.

Член 22. Всички актове, фактури, обявления, публикации и други  документи, произлизащи от Асоциацията, следва да съдържат следните елементи: наименованието« Association bulgare au Luxembourg A.s.b.l. » („Българска асоциация в Люксембург“), както и споменаването « a.s.b.l. » (сдружение с нестопанска цел), седалището, инициалите  « R.C.S. Luxembourg » (Търговски и фирмен регистър – Люксембург), последвани от регистрационния номер.

Глава V. СМЕТКИ И БЮДЖЕТ
Член 23.  Общото събрание изслушва отчетите на Съвета относно финансовата ситуация на Асоциацията.
То се изказва относно сметките от изтеклата финансова година и разисква въпросите от дневния ред. Бюджетната година започва на 1 януари всяка година. Сметките приключват на 31 декември и се предават за оглед на Общото събрание съвместно с отчета на ковчежника.
Сметките на Асоциацията се водят и уреждат от ковчежника, който е член на Съвета. Всяко движение по тях следва да се удостоверява с фактура или друг помощен счетоводен документ.
Положителният излишък принадлежи на Асоциацията.
Преди да се предоставят на Общото събрание, счетоводните книги, сметките и касата на изтеклата финансова година се заверяват от двама одитори, посочени от предходното Общо събрание.

Глава VI. РАЗПУСКАНЕ
Член 24. Разпускането на Асоциацията се обявява с мнозинство от 2/3 (две трети от членовете на Асоциацията. Разпускането на Асоциацията е уредено в членове 20 и 21 на Закона от 21 април 1928 за асоциациите с нестопанска цел и от неговите последващи изменения.

Член 25. В случай на разпускане наличните парични средства в брой и в банковата сметка, както и собствеността на Асоциацията се предоставят на организация с подобни цели, след уреждане на всички дългове, такси и разходи по ликвидацията. Тази организация се избира от Съвета.

Глава VII. РАЗНИ
Член 26. Уставът може да се измени съобразно разпоредбите, предвидени в член 8 и член 9 на Закона от 21 април 1928 за асоциациите с нестопанска цел и от неговите последващи изменения.

Член 27. При всички случаи, неуредени от настоящия устав, се прилага Законът от 21 април 1928 за асоциациите с нестопанска цел и от неговите последващи изменения.

Член 28. При необходимост Асоциацията може да гласува вътрешен правилник с цел уточняване на някои пунктове от статута или уреждане на извършването на някои дейности. Той се съставя от съвета и се одобрява от Общото събрание.

Член 29. Учредителното общо събрание, което се състоя на горепосоченото място на 15.02.2013 г., одобри настоящия устав.

ARTICLES OF ASSOCIATION

Bulgarian Association in Luxembourg A.s.b.l.

Chapter I. NAME, REGISTERED OFFICE, DURATION AND OBJECT

Art. 1. The Association will be named « Bulgarian Association in Luxembourg A.s.b.l. » a non-profit association, abbreviated «  BGLUX  » (hereinafter referred to as «the Association  »).

Art. 2. The registered seat of the Association shall be established at 142, rue Albert Unden, L-2652 Luxembourg.

Art. 3. The duration of the Association shall be unlimited.

Art. 4. The Association shall have as an object any activity likely to promote the development of commercial, economic, cultural, sports, humanitarian, scientific, financial, fiscal, legal and tourism relations between Bulgaria and the Grand Duchy of Luxembourg. It shall also aim to create a dynamic cooperation with the Chamber of Commerce of Luxembourg.
As part of its activities, the Association shall be able to establish "branches" in different cities and countries.

Art. 5. The Association shall run its activity in strict political independence, ideological, religious and racial independence.

Art. 6. The Association may have either in possession or owned, any movable or real property necessary or useful for the attainment of its purposes. The financial resources of the association shall include:
A) members' subscriptions;
B) grants and subsidies;
C) earnings from publications or from other activities;
D) interest and other income from investments;
E) donations and gifts made to it.


Chapter II. MEMBERS
Art. 7. The Association shall be composed of active members, donors, members, associate members and honorary members. The number of members of the Association is unlimited.

Art. 8. Any legal or natural person who manifests his/her will, by written request or by a verbal request, determined to observe these Articles of association and approved by the Committee, may become a member.

Art. 9. A Member – donor may become any person who, without participating actively in the work of the Association, shall provide annual financial assistance, with the agreement of the Committee.

Art. 10. The Committee may confer the title of an Honorary Member to persons who have rendered services or donated to the Association.
Associate member may become anyone not wanting to become an active member, but wishing to be kept informed of the events of the Association.

Art. 11. Members pay an annual subscription fee set by the General Assembly in the period fixed by the said General Assembly. The minimum fee shall be set to twenty-five (EUR 25) and may not exceed one hundred euro (EUR 100,-). The General Assembly shall reserves the right to increase this fee according to the needs of the Association.

Art. 12. Membership rights shall be lost:
1. by resignation in writing to the Committee;
2. by exclusion pronounced by the General Assembly by a majority of two thirds of the members present for violation of the Articles of association or any other serious reason. In case of a tie vote, the Chairman has the casting vote;
3. in case of death;
4. in case of non-payment of the annual subscription fee
The proposal for exclusion is made by the Committee, but the final decision is taken by the General Assembly.

Art. 13.   The resigning and excluded member shall have no right over the assets and the property of the Association and can not claim a refund of subscriptions.


Chapter III. COMMITTEE
Art. 14. The Association shall be administered by a committee which consists of a number of members between 5 and 11, the Chairman, the Deputy-Chairman, the Managing Director, the Secretary and the Treasurer. Committee members are elected for a period of three years by the General Assembly.
When an administrator director ceases to hold office before the expiration of its mandate, the Committee may temporarily fill the vacancy until the next General Assembly. The elected Committee member shall complete the term of his predecessor.
Members of the Committee shall appoint among them for a period of three years a Chairman, a Deputy-Chairman, a Managing Director, a Secretary and a Treasurer. They may be reappointed for a term of three (3) maximum terms.
Applications for tenure on the Committee must be made in writing to the Chairman at least 48 hours before the General Assembly.

Art. 15. The Committee shall convene as often as the interests of the Association require upon a call of the Chairman, Secretary, Deputy-Chairman or two members of the Committee. Committee decisions shall be taken by a majority of two thirds of the members present. In case of a tie vote, the Chairman’s or his deputy’s vote shall be the casting vote.
In the absence of the Chairman and Deputy-Chairman, Committee meeting is chaired by the Treasurer and also in case of absence of the Secretary – by Treasurer.
The Committee may appoint, either temporarily or permanently, persons, non-active members whom it may entrust with special missions. These people, however, shall have a right to a consultative vote at the meetings of the Committee.
Decisions of the Committee shall be recorded in minutes which are signed by the Chairman and the Secretary and those voters who would want it.
Extracts or copies of records to be produced in court or elsewhere, shall be certified and signed by the Chairman or by two members of the Committee.

Art. 16. The Committee shall have the broadest powers to the administration and management of the Association. All that is not expressly reserved to the General Assembly by the Articles of association or by the law shall be within its jurisdiction.
The Committee may in particular, acquire, sell or mortgage the property of the association, borrow and accept all donations and bequests subject to the authorization provided by law, as long as the total amount of transactions covered does not exceed the sum of EUR 30, 000.00. All decisions regarding operations beyond the said sum shall be submitted by the Committee prior to approval by the General Assembly which shall vote at a special session.
The Committee shall be required to submit each year to the approval of the Ordinary and the Annual General Assembly the accounts of the elapsed financial year and next financial year's budget.
It will ensure strict compliance with the requirements set out in sections three (3), nine (9) and ten (10) of the Act of 21 April 1928 on non-profit associations, as amended.
Legal action, whether as plaintiff or defendant shall be brought or supported solely on behalf of the Association.

Art. 17. The Association shall be committed under any circumstances by the joint signatures of any of the following two persons : of the Chairman, the Secretary or the Treasurer (for matters that affect the finances of the Association). Each of these individuals can freely delegate signing authority to a member of the Committee of their choice.

Chapter IV.  GENERAL  ASSEMBLY
Art. 18. The Ordinary General Assembly shall convene annually in the month of February or March, at a date, time and place specified in the notice sent by mail or fax.
A resolution of the General Meeting shall be required for the following items:
1) the modification of the Articles of association
2) any transaction contemplated by the Association whose total amount exceeds the sum of EUR 30,000.00
3) the appointment and dismissal of members of the Committee, changing the term of office and the discharge of the members of the Committee
4) the approval of the accounts and the budget
5) the dissolution of the Association
6) the exercising of all other powers conferred on it by the law or the Articles of association
7) the appointment and the dismissal of auditors of the accounts, the determination of their term of office and the discharge to be given to the auditors on the accounts.
The General Assembly may validly deliberate regardless of the number of members present or represented. Only active members have the right to vote.
The decisions of the General Assembly shall be taken by majority vote of the members present. In case of a tie vote, the Chairman shall have the casting vote.
Each member present or represented in the General Assembly has one vote. In case of a tie, the person chairing the meeting has a casting vote.
Members may be represented at the General Meeting by another member or by a third party who should bring a written proxy to the Chairman or his Deputy.
General Meetings are chaired by the Chairman or, in his absence, by the Deputy-Chairman.
The Chairman or whoever performs its functions shall designate the Secretary and two tellers from among the members present that will make up the election office together with the Chairman or the person who performs the functions.
The election office shall compile the presence list and shall certify its authenticity.

Art. 19. The Extraordinary General Meeting shall convene whenever the interests of the Association require or a fifth of the members demand it by a written request to the Committee.

Art. 20. The convocation shall be made at least 15 days before the date set for the General Assembly, through the press, with n ordinary letter or by email which must include the proposed agenda, time and venue of the General Assembly.

Art. 21. Any written proposal signed by at least one twentieth of the members included in the last annual list should be brought to the agenda.

Art. 22.  All deeds, invoices, announcements, publications and other items originating from the Association shall include the following elements: the denomination «  Association bulgare au Luxembourg A.s.b.l.  » as well as the abbreviation «  a.s.b.l.  », the seat, the initials «  R.C.S. Luxembourg  » followed by the registration number.

Chapter V.  ACCOUNTS AND BUDGET
Art. 23.   The General Assembly shall hear the reports of the Committee on the financial situation of the Association.
It shall decide on the accounts of the year and deliberate on the issues on the agenda. The fiscal year begins on January 1 of each year. The accounts are closed on December 31 and submitted for consideration to the General Assembly together with the report of the Treasurer. 
The accounts of the Association shall be kept and paid by the Treasurer, a member of the Committee. Each movement must be justified by an invoice or other supporting documents.
The surplus shall belong to the Association.
Before being submitted to the General Assembly the books, the accounts and the petty cash from the previous financial year shall be audited by two auditors appointed by the previous General Assembly.

Chapter VI. DISSOLUTION
Art. 24. The dissolution of the Association shall be decided by a majority of 2/3 (two thirds) of the members of the Association. The dissolution of the Association shall be governed by the Articles 20 and 21 of the Act of 21 April 1928 on non-profit associations, as amended.

Art. 25. In the case of dissolution, the capital in cash and on the bank account as well as the assets of the Association, after payment of all debts, liabilities and liquidation expenses, shall be allocated to an organization with similar goals. This organization shall be selected by the Committee

Chapter VII. MISCELLANEOUS
Art. 26. These Articles of association may be amended in accordance with the provisions of the Articles 8 and 9 of the Act of 21 April 1928 on non-profit associations, as amended.

Art. 27. For everything that is not regulated by these Articles of association, there shall be applied the Act of 21 April 1928 on non-profit associations, as amended.

Art. 28. If the need arises the Association may adopt rules of procedure specifying certain points from the Articles of association or regulating the operation of certain activities. It shall be the responsibility of the Committee subject to approval by the General Assembly.

Art. 29.  The Constituent General Assembly which met at the place indicated above on 15.02. 2013 approved these articles of association.
